"AIDS/LifeCycle" and the AIDS/LifeCycle logo 
(the "Trademarks") are registered trademarks owned by the San Francisco AIDS Foundation ("SFAF") and The L.A. Gay & Lesbian Center (the "Center", together with SFAF, "Licensor"). Critical to the promotion and overall success of AIDS/LifeCycle is the Licensor's ability to control the use and display of the Trademarks. As an individual who is registered to participate in the current AIDS/Lifecycle, you are permitted to use and display the Trademarks solely as described below.
Approved Uses by Registered Participants
Fundraising Materials
Licensor hereby grants to each individual registered to participate in the current AIDS/LifeCycle (a "Participant") a non-transferable, non-sublicensable, non-exclusive and restricted license, to use and display the Trademarks solely and exclusively for the purpose of promoting Participant's own individual or team fundraising efforts in connection with the current AIDS/LifeCycle. Under this license, Participant may use the Trademarks ONLY in the form of the letters, fliers, posters, web pages, and other promotional materials displaying the Trademarks which Licensor provides to Participant (the "Materials"). Participant may only distribute Materials to Participant's personal contacts or display Materials in Participant's private spaces (home, office, social organization, etc.). Use of the AIDS/LifeCycle Trademarks must ALWAYS support the mission of, and reflect positively on, AIDS/LifeCycle, SFAF and the Center.
Approval for any use of the Trademarks other than as set forth above is subject to the sole discretion of the Licensor. In particular and without limiting the foregoing, Participants must obtain Licensor's prior written approval to use or display the marks on any materials, whether promotional or otherwise, other than the Materials. Approval may be sought from the Director or Associate Directors of the AIDS/LifeCycle by submitting a sample, copy or design of such proposed other use. Permission for such proposed other use will be granted, if at all, only pursuant to and subject to the terms of a written agreement signed by Participant and Licensor.
No Participant shall reproduce or use (or authorize the reproduction or use of) the Trademarks in any manner whatsoever other than as expressly authorized hereunder, and Licensor may terminate Participant's right to use the trademarks immediately if, in Licensor's sole discretion, Participant's use of the Trademarks violates these guidelines or is otherwise inconsistent with the mission of, or reflects negatively on, AIDS/LifeCycle, SFAF or the Center.
Participant acknowledges and agrees that Licensor is and shall be the sole and exclusive owner of all rights in and to the Trademarks and, subject only to the specific licenses granted herein, Licensor expressly reserves all such rights. Participant agrees that it will not acquire or claim any rights in the Trademarks as a result of the use licensed hereunder and that all such use, and all goodwill associated with such use, shall inure to the sole benefit of Licensor.
